Agency & Acceptable Use Addendum
Effective 2026-09-25. Provider: Video Batcher Co..
This addendum supplements the Terms of Service and Refund & Cancellation Policy for customers who accept it. Mandatory rights under applicable law remain unaffected.
1. Agency service and third-party AI
Agency is a subscription priced at $250 USD per month, renewing monthly until cancelled. Any applicable tax and amount due must be shown before confirmation. It includes the normal desktop functionality and the Agency local automation tools described on the Agency page. It is not a hosted rendering, white-label or AI-inference service.
You connect your own compatible AI client or model to automate work within your approved settings. Compatibility is not promised for every AI product, plan or operating environment. The local connector does not upload your media or run an AI model. A third-party AI client may receive prompts, captions, filenames and tool results that you choose to share, under that provider’s terms.
You remain responsible for configuring file permissions, presets, captions and destinations in the desktop app, and for reviewing outputs before use. Review first requires desktop approval of each job; Automatic mode runs jobs within the permissions and limits you explicitly approved in the desktop app. Automation is not permission to bypass those controls, licensing controls or another service’s restrictions. First-release limitations are disclosed on the Agency page and in the desktop documentation.
2. Upgrades, renewals and cancellation
Only eligible existing paid Standard customers may start the seven-day Agency upgrade trial. Self-service is available for eligible monthly Standard subscriptions only. Yearly Standard requires support-assisted, credit-safe review to preserve unused prepaid time. Free desktop trial users and new Agency buyers are not eligible. Agency, including the base desktop license and Downloads, activates immediately on successful trial start. No Agency charge is taken for seven days; the underlying Standard subscription remains paid and continues normal billing during the trial. A new paid Agency subscription includes the desktop license but does not include this seven-day trial.
Before starting, the customer must explicitly accept these terms and automatic conversion seven days after Agency activates. The review shows an expected billing date, not a fixed deadline; the exact deadline is confirmed in account status on activation. Requesting a review or retrying an interrupted activation does not shorten the seven-day trial. Unless the customer chooses Stay on Standard before that deadline, Agency replaces Standard automatically at $250 USD per month, renewing monthly until cancelled. Unused prepaid Standard time is accounted for as billing credit without duplicate credits or refunds. This credit is not a cash refund.
Choose Stay on Standard at any time during the trial through the email-verified Agency account page, using the same billing email. This prevents Agency conversion and keeps only the customer's otherwise valid paid Standard access. It does not cancel the underlying Standard subscription or grant additional paid Standard time.
Cancellation stops future renewal charges. Ordinary cancellation leaves access available for the remainder of the paid period, subject to a justified suspension under this addendum. Contact subscription support for downgrade options; an immediate refund or self-service downgrade is not promised.
If the customer forgets to opt out, a refund of the first Agency charge after the trial may be requested within 72 hours of that charge through the verified account page or billing support. Requests are reviewed; submission is not automatic approval or cancellation. An approved refund cancels Agency and restores only the valid original Standard entitlement, if any, without inventing new paid access. Cancellation of future renewals is a separate action and does not itself refund previous charges.
This new Agency offer does not promise a blanket 14-day refund on Agency charges. The Standard guarantee, previously accepted customer terms and legacy guaranteed refunds remain protected; this addendum does not retrospectively remove them. Mandatory refund and other legal rights remain unaffected. Nothing here automatically forfeits a refund because an account is suspended. Charges and credits must be accounted for without duplicate refunds. Suspension and termination do not permit new recurring charges after permanent termination.
3. Acceptable use
Do not use the software or connected services to:
- Commit fraud, distribute malware, carry out unlawful activity or facilitate serious harm.
- Access accounts or systems without authorization, disrupt services or deliberately evade security controls.
- Circumvent licensing, tamper with entitlement verification, share access contrary to your license, or resell the software or its access without permission.
- Create or distribute material you are not legally entitled to use, including unlawful impersonation or infringement of others’ rights.
- Use automation to bypass another service’s access controls or knowingly violate its applicable rules.
Legitimate high-volume processing within the permitted limits is not, by itself, abuse. Good-faith complaints, appeals and lawful payment disputes are not, by themselves, prohibited. You retain responsibility for your source material, instructions and published outputs.
4. Suspension without prior warning
Where reasonably necessary to prevent material harm, fraud, unlawful activity or a serious security risk, the provider may suspend affected access without prior warning, based on credible evidence. Serious, repeated or unremedied material breaches may result in termination; immediate termination may be used where justified by the seriousness of the breach and permitted by applicable law.
For less serious issues that can reasonably be corrected, the provider will normally explain the concern and give a reasonable opportunity to correct it before termination. Restrictions should be proportionate to the risk and reviewed rather than imposed indefinitely without consideration.
The provider will notify you promptly of action and the available review process, unless notice is legally prohibited or would reasonably create a security risk or compromise an investigation. An automated warning or unverified report alone does not establish wrongdoing.
5. Review, appeal and restoration
Request a review at team@videobatcher.com, using your billing email and any case reference. Do not send passwords, payment-card details or private media unless specifically needed and agreed. Staff will consider your response and available evidence, communicate the decision, and restore access if the reason for restriction no longer applies. No guaranteed response time is created by this draft.
Permanent termination includes stopping future billing and reviewing any refund required by the published policy or law. Financial and decision records may be retained as needed for accounting, dispute resolution and lawful obligations; termination does not imply immediate deletion of all records.
6. Local processing and enforcement limits
These rules do not authorize undisclosed scanning or uploading of local files. Reviews may use licensing and service-security records, customer communications and substantiated reports, consistently with the Privacy Policy.
Agency access requires online entitlement verification and is unavailable offline. Access restrictions are enforced when the app next verifies entitlement. The provider cannot promise instant remote shutdown of a computer.
7. Changes and applicable law
The agreed governing law is Porto, Portugal, subject always to mandatory protections and jurisdiction rights that cannot lawfully be excluded.
Material changes will be notified before taking effect where required. The provider must retain the version accepted during an upgrade and obtain fresh agreement where necessary. A draft published for review does not retrospectively change existing contracts.
